Terms of Service

News-Intel is an AI-powered interpretive analytical technology platform. It analyzes user-submitted content (such as URLs, articles, text, and related materials) and generates probabilistic, interpretive analytical outputs derived from pattern-based AI processing.

News-Intel is a technology platform. It is not, and shall not be construed as:

• •a publisher, newsroom, or media organization,
• •an investigative or journalistic authority,
• •a factual adjudicator or arbiter of truth,
• •a deception-detection, misinformation, or propaganda-determination authority,
• •a provider of investment, legal, financial, political, medical, or other professional advice.

We may modify, suspend, add, or discontinue features of the Platform at any time, with or without notice, in our sole discretion.

All outputs produced by the Platform are:

• •interpretive,
• •probabilistic,
• •subjective,
• •algorithmic,
• •non-deterministic,
• •analytical opinions only,
• •potentially incomplete, inaccurate, or evolving.

Outputs are analytical interpretations of communication structure — not factual determinations about underlying events, actors, organizations, publications, or claims. Different systems, reviewers, and human experts may reasonably reach different conclusions from the same content. No output is presented as the sole correct reading, nor as an authoritative finding about any person or entity.

All outputs constitute protected opinion. Any language resembling factual assertion, conclusion, or determination is interpretive analytical commentary only.

The Platform does not, and shall not be relied upon to:

• •determine objective truth or falsity,
• •establish intent, motive, or state of mind,
• •establish deception, propaganda, misinformation, manipulation, misconduct, illegality, or coordinated influence,
• •verify factual claims independently,
• •provide legal, financial, investment, tax, accounting, medical, political, journalistic, or other professional advice.

Nothing on the Platform constitutes investment advice, a recommendation to buy or sell any security or asset, or solicitation of any transaction. You are solely responsible for any decisions you make and should consult qualified professionals before acting.

The Platform relies on AI and machine learning systems, which have inherent limitations:

• •outputs may be inaccurate, incomplete, inconsistent, or evolving,
• •outputs are probabilistic and pattern-based, not deterministic,
• •outputs may vary across versions, models, prompts, methodologies, or runs,
• •the Platform does not possess human understanding, investigative authority, or direct access to objective reality,
• •the Platform cannot independently observe events, verify sources, or assess intent.

You acknowledge and accept these limitations as inherent to AI-based analytical systems.

Platform outputs are decision-support analytical commentary, not directives. You are solely responsible for:

• •exercising independent judgment,
• •verifying information through primary sources,
• •forming your own conclusions,
• •any decisions, publications, communications, or actions taken in connection with the Platform.

You agree not to rely on Platform outputs as the sole basis for any decision, claim, allegation, publication, investment, or action involving any person, entity, publication, or asset. Myrmidon Group disclaims all responsibility for reliance on Platform outputs.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYRMIDON GROUP LLC, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, OPERATORS, CONTRACTORS, OR LICENSORS (COLLECTIVELY, THE "PROTECTED PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, REPUTATION, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, INABILITY TO USE, OR RELIANCE ON THE PLATFORM OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE PROTECTED PARTIES ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO MYRMIDON GROUP FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

These limitations apply regardless of the legal theory asserted (contract, tort, statute, or otherwise) and survive termination of these Terms.

THE PLATFORM AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AVAILABILITY, SECURITY, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

No advice or information, whether oral or written, obtained from the Platform creates any warranty not expressly stated in these Terms.

You agree to defend, indemnify, and hold harmless the Protected Parties from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• •your access to or use of the Platform,
• •your reliance on any output,
• •any decision, publication, allegation, or action you take in connection with the Platform,
• •your User Content (as defined below),
• •your violation of these Terms or applicable law,
• •your infringement or violation of any third-party right.

You retain ownership of content you submit to the Platform ("User Content"), including URLs, text, articles, screenshots, documents, and media. You represent and warrant that you have all rights necessary to submit such content and that doing so does not violate any law or third-party right.

You grant Myrmidon Group a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, process, analyze, transform, and otherwise use User Content as necessary to operate, secure, improve, develop, and evolve the Platform, including AI processing and the generation of analytical outputs and aggregated, anonymized, de-identified, behavioral, statistical, or analytical insights.

You are solely responsible for your User Content. We do not endorse and are not responsible for any User Content or for outputs generated from it.

We may collect, process, and analyze data relating to your use of the Platform as described in the Privacy Policy. We may create, maintain, use, license, share, and commercialize aggregated, anonymized, de-identified, behavioral, statistical, and analytical insights derived from Platform usage and content ("Analytical Insights").

Analytical Insights are designed not to directly identify individual users and may be used for any lawful purpose, including research, benchmarking, business intelligence, product development, AI model improvement, and commercial licensing to third parties. Once information has been aggregated or de-identified, it is no longer considered personal information for purposes of these Terms.

The Platform, including its software, models, methodologies, classifications, scoring systems, frameworks, designs, interfaces, content, trademarks, and branding, is owned by or licensed to Myrmidon Group and is protected by intellectual property laws. All rights not expressly granted are reserved.

You may not, and may not permit any third party to:

• •copy, reproduce, modify, distribute, publicly display, or create derivative works of the Platform,
• •scrape, crawl, harvest, or extract data, outputs, or content from the Platform by automated means,
• •use Platform outputs to train, fine-tune, evaluate, or develop any AI, machine learning, or analytical model,
• •reverse engineer, decompile, or disassemble the Platform,
• •circumvent or interfere with security, rate-limiting, authentication, or access controls,
• •use the Platform to build a competing product or service.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal or internal business purposes as intended.

The Platform is an evolving system. The following may change at any time without notice:

• •features and functionality,
• •methodologies, classifications, and scoring systems,
• •analytical frameworks and weighting,
• •underlying AI models, prompts, and infrastructure,
• •pricing, plans, credits, and commercial terms,
• •business models and commercial offerings.

We may modify these Terms from time to time. Material changes will be indicated by updating the effective date above and, where appropriate, by additional notice through the Platform. Your continued use after changes take effect constitutes acceptance.

We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any reason, including suspected violation of these Terms, abuse, fraud, security risk, or legal requirement.

You may stop using the Platform at any time. Provisions that by their nature should survive termination (including Sections 06–12, 15–17, and 19–20) will survive.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

Any dispute, claim, or controversy arising out of or related to these Terms or the Platform ("Dispute") shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Florida, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. YOU AND MYRMIDON GROUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions. Either party may (i) bring an individual claim in small-claims court for disputes within its jurisdiction, and (ii) seek injunctive or equitable relief in court to protect intellectual property or confidential information.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to the contact address in Section 21 within thirty (30) days of first accepting these Terms.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. Subject to Section 15, the exclusive venue for any action not subject to arbitration shall be the state or federal courts located in Florida, and you consent to personal jurisdiction therein.

The Platform is operated from the United States. If you access it from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws. You consent to the transfer and processing of information in the United States and other jurisdictions as described in the Privacy Policy.

Certain features may not be available in all jurisdictions. We make no representation that the Platform is appropriate or available for use in any particular location.

Your use of the Platform is also governed by the News-Intel Privacy Policy, which is incorporated into these Terms by reference and describes how we collect, use, and process information, including AI processing and the creation and use of Analytical Insights.

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect. The unenforceability of any provision shall not affect the enforceability of the remainder.

These Terms, together with the Privacy Policy, the Disclaimer, the Methodology & Limitations notice, and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Myrmidon Group regarding the Platform and supersede all prior or contemporaneous understandings.

Our failure to enforce any right or provision shall not be deemed a waiver. You may not assign these Terms without our prior written consent; we may assign them freely.
